Terms & Conditions

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business or other entity, you represent that you are authorized to bind that entity, and "you" includes that entity.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at bhushan@tabaustin.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

The App is a guided 90-day workbook providing daily exercises, prompts, and tools for business owners, with the ability to save your responses. We may also provide advisory and consulting services separately. The scope, fees, and deliverables of any consulting engagement are governed by a separate statement of work or engagement letter, which supplements these Terms; if there is a conflict, the engagement letter controls for that engagement.

We may add, change, suspend, or discontinue any part of the Services at any time. We will use commercially reasonable efforts to notify you of material changes that adversely affect paid features.

Certain features of the Services are offered on a paid or subscription basis. By purchasing a subscription, you authorize us (and our payment processors) to charge the applicable fees, including recurring charges, taxes, and any other amounts due, to your selected payment method.

• Recurring billing. Subscriptions renew automatically at the end of each billing period (monthly or annually, as selected) until cancelled.
• Cancellation. You may cancel at any time through your account settings or by contacting bhushan@tabaustin.com. Cancellation takes effect at the end of the current billing period, and you retain access until then.
• Refunds. Except where required by law, fees are non-refundable and there are no refunds or credits for partial billing periods or unused features.
• Price changes. We may change fees from time to time. Changes apply to renewal periods after we provide notice; continued use after a price change constitutes acceptance.
• Taxes. Fees are exclusive of taxes, and you are responsible for all applicable sales, use, and similar taxes.
• Failed payments. If a charge fails, we may suspend or terminate access to paid features until payment is resolved.

The Services, including all content, exercises, text, tools, software, designs, and trademarks, are owned by or licensed to Hopkins Growth and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own internal business purposes, subject to these Terms.

You may not copy, resell, distribute, reverse engineer, or create derivative works from the Services or their content without our prior written consent.

Your content. You retain ownership of the responses, notes, and other content you submit ("Your Content"). You grant us a worldwide, royalty-free license to host, store, process, and display Your Content solely to operate and improve the Services. You are responsible for Your Content and represent that you have the rights necessary to submit it.

You agree not to:

• use the Services for any unlawful, harmful, or fraudulent purpose;
• attempt to gain unauthorized access to the Services or other accounts, systems, or networks;
• interfere with or disrupt the integrity or performance of the Services;
• share your account credentials or allow others to use your account; or
• upload malicious code or content that infringes the rights of others.

We collect and process personal information as described in our Privacy Policy. By using the Services, you consent to such processing. You are responsible for ensuring that any data you submit complies with applicable laws.

The App and any educational materials are provided for general informational and educational purposes only and do not constitute legal, financial, tax, accounting, or other professional advice. Advisory or consulting services we provide are based on the information available to us and our professional judgment; outcomes are not guaranteed. You are responsible for your own business decisions and should consult qualified professionals where appropriate.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY RESULTS WILL BE ACHIEVED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOPKINS GROWTH AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Hopkins Growth and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, Your Content, or your violation of these Terms or applicable law.

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms or if we reasonably believe it is necessary to protect the Services or other users. Upon termination, your right to use the Services ceases. Sections that by their nature should survive termination will survive, including IP, disclaimers, limitations of liability, indemnification, and governing law.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration will be the state and federal courts located in Travis County, Texas, and you consent to personal jurisdiction there.

The parties will first attempt to resolve any dispute informally by contacting bhushan@tabaustin.com. Any dispute not resolved within 30 days may be submitted to binding arbitration in Austin, Texas, on an individual basis; you and we waive any right to participate in a class action.

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
